Terms of Service
Last updated: September 2026
These Terms of Service govern access to and use of the Damtata Energy Exchange platform (the “Platform”), operated by the Damtata · Sanco joint venture (the “Operator”). By registering an organization or using the Platform, you agree to these Terms on behalf of that organization.
1. The Platform's role
The Platform is a neutral venue that facilitates trade, contracting, escrow-backed settlement and record-keeping between verified participants. The Operator is not a party to the underlying sale of goods except where it itself lists as a seller, and does not take title to fuel or commodities traded between other participants.
The Platform never executes trades or moves funds autonomously. Every order, payment, confirmation and release requires an authorized human action by a participant or the Operator.
2. Eligibility and verification
Participation is limited to organizations that complete the Platform's KYC/KYB verification, including business registration, beneficial-ownership disclosure, director identification, applicable fuel licences, and tax and banking confirmation. The Operator may approve, reject, suspend or request further information at its discretion in line with applicable law.
You are responsible for the accuracy of information and documents you submit, and for keeping them current.
3. Orders, contracts and settlement
A confirmed order generates a sale contract between the buyer and seller. Both parties are responsible for reviewing and electronically signing that contract. Settlement is made by EFT, PayToday or licensed stablecoin off-ramp, and funds are held in escrow until delivery is confirmed, at which point they are released to the seller. Cancellations before delivery result in a refund of escrowed funds to the buyer.
Pricing for petrol reflects the official gazetted price and is displayed on a read-only basis. Diesel and commodities are negotiable between the parties.
4. Fees
The Operator may charge a commission on marketplace transactions between a buyer and a third-party seller, disclosed on the relevant order. Settlement-rail costs may apply and are disclosed where relevant.
5. Acceptable use
You agree to use the Platform lawfully and in accordance with the Platform Rules, including anti-money-laundering and sanctions obligations. You will not misrepresent identity, product, price or provenance, or use the Platform to facilitate unlicensed activity.
6. Liability
The Platform is provided on an “as available” basis. To the maximum extent permitted by law, the Operator's aggregate liability arising from use of the Platform is limited to the fees paid to the Operator in respect of the transaction giving rise to the claim. The Operator is not liable for the quality, delivery or performance of goods traded between other participants.
7. Governing law
These Terms are governed by the laws of the Republic of Namibia. Disputes are handled per the Dispute Resolution policy.
